These Terms of Service (these “Terms”) are entered into between you (“you” or “User”) and touch a chord (“Company,” “we,” “us,” or “our”) and govern your access to and use of thxmyai, including our website, applications, products, paid features, content, AI-assisted features, and related services (collectively, the “Services”).
By accessing or using the Services, creating an account, purchasing any paid offering, or clicking to accept these Terms, you agree to be bound by these Terms and by any policies incorporated by reference, including our Privacy Policy, Refund Policy, and any additional product-specific or feature-specific terms we may provide.
If you do not agree to these Terms, you do not have permission to access or use the Services in any way and must not do so.
If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and in that case “you” includes that entity.

IMPORTANT DISPUTE NOTICE: PLEASE READ THE SECTION TITLED “GOVERNING LAW; DISPUTE RESOLUTION; CLASS ACTION WAIVER” CAREFULLY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CERTAIN DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION.

1. The Services

1.1 Service Overview
thxmyai is a digital service that allows users to create, store, manage, and optionally share digital artifacts that record their views, messages, or perspectives regarding artificial intelligence (each, an “Artifact”).
The Services may include, without limitation:
creation and customization of Artifacts;
paid Artifact tiers, edit rights, premium presentation, memberships, subscriptions, or related digital benefits;
account-based management of Artifacts;
public sharing features, including a public hub, profiles, rankings, participation views, and statistics;
moderation, review, invalidation, and administrative controls;
AI-assisted outputs, commentary, scoring, or related features;
and any other features we make available from time to time.

1.2 Symbolic Nature of Artifacts
Artifacts are symbolic, expressive, commemorative, and informational digital items only.
You expressly acknowledge and agree that any Artifact made available through the Services:
has no legal validity or legal effect;
does not constitute identity verification, certification, accreditation, endorsement, or official approval;
is not issued by, affiliated with, endorsed by, or recognized by any government, regulator, court, public authority, international organization, artificial intelligence developer, or other third party unless we expressly state otherwise in writing;
does not create any contract, guarantee, privilege, immunity, protection, right, status, or future benefit of any kind;
does not represent ownership, investment value, security, speculative value, NFT, tokenized asset, or any other financial instrument or asset right;
and is provided solely as a symbolic digital record of expression.
You must not represent or imply otherwise.

1.3 No Official Affiliation
Unless expressly stated by us in writing, the Services and all Artifacts are not affiliated with, endorsed by, sponsored by, approved by, or officially connected to any government, public authority, international organization, company, platform, institution, or artificial intelligence system or developer.

1.4 Changes to the Services
We may modify, update, suspend, restrict, or discontinue all or any part of the Services at any time, including by adding or removing features, changing limits, changing eligibility rules, changing public display rules, or changing pricing structures.
Where required by applicable law, or where changes materially affect your rights, we will provide notice as required by law.

2. Eligibility and Accounts

2.1 Eligibility
You may use the Services only if:
you are legally capable of entering into a binding agreement under applicable law;
you are not prohibited from using the Services under applicable law;
you are not located in, ordinarily resident in, or accessing the Services from a jurisdiction subject to sanctions, embargoes, or similar restrictions that make such use unlawful;
all information you provide is truthful, accurate, and complete;
and your use of the Services does not violate any applicable law or third-party rights.

If you are under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian, unless a higher minimum age is required by applicable law for particular features.

2.2 Account Creation and Authentication
Some features may require an account.
We may allow account access through email-based authentication, including passwordless login, magic link login, or a similar authentication mechanism.
We may automatically create or associate an account based on your email address, purchase activity, or use of the Services.
A single email address may correspond to a single account, and one account may hold multiple Artifacts, subject to our rules and limits.

2.3 Account Security
You are solely responsible for maintaining the security of your account, devices, email inbox, session tokens, authentication links, and any credentials or access methods used with the Services.
You must promptly notify us at support@thxmyai.com if you believe that your account or email has been accessed or used without authorization.
To the maximum extent permitted by law, you are responsible for all activity occurring under your account or through your email address, whether or not authorized by you.

2.4 Accurate Information
You must provide accurate, current, and complete information and keep it updated.
We may suspend, restrict, invalidate, or terminate access if any information you provide is false, misleading, incomplete, outdated, or creates legal, payment, fraud, or operational risk.

3. User Content, Artifacts, and Public Sharing

3.1 Your Content
You may submit text, nicknames, statements, prompts, settings, preferences, configuration choices, profile information, and other materials through the Services (“User Content”).
As between you and us, and subject to the rights granted in these Terms, you retain your ownership rights in your User Content.

3.2 License to Us
You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, modify, adapt, display, perform, distribute, and otherwise use your User Content as reasonably necessary to:
provide, operate, maintain, and improve the Services;
generate, render, deliver, and display Artifacts;
operate rankings, profiles, public views, and related features;
review, moderate, approve, reject, hide, disable, de-rank, or remove content;
detect, prevent, and investigate abuse, fraud, chargebacks, and security incidents;
comply with legal, tax, accounting, and regulatory obligations;
and develop aggregated, de-identified analytics, metrics, and operational insights.
This license continues for so long as reasonably necessary for the purposes above, including legal compliance, security, recordkeeping, dispute handling, fraud prevention, and enforcement.

3.3 Public Sharing Controls
The Services may allow you to control whether certain parts of your account or Artifact are publicly visible, including:
the Artifact itself;
your message or statement;
your nickname or display name;
and whether your participation appears in rankings or public views.
These settings may operate independently, and visibility of one element does not guarantee visibility of another.

3.4 Default Visibility and Effect of Private Status
Unless we expressly state otherwise, newly created Artifacts or paid features may default to private or non-public status.
If an Artifact or related field is private, hidden, unapproved, invalidated, restricted, or otherwise not publicly eligible:
it may not appear in the public hub;
it may be excluded from rankings, search results, and public statistics;
direct link access may be blocked or disabled;
related profile or public display features may be limited;
and related service benefits may be withheld or removed.
Public availability is never guaranteed and may depend on review status, payment status, compliance status, technical availability, operational criteria, and these Terms.

3.5 Moderation and Review
We may, but are not obligated to, review User Content before or after publication.
We may approve, reject, hide, disable, remove, de-rank, reformat, or restrict access to any User Content or Artifact where we reasonably believe it may:
violate these Terms or our policies;
infringe third-party rights;
be unlawful, fraudulent, deceptive, abusive, hateful, defamatory, sexually explicit, obscene, violent, threatening, harassing, or otherwise objectionable;
contain profanity, slurs, personal attacks, illegal promotion, or political incitement;
create payment, reputational, legal, regulatory, security, or platform risk; or
interefre with the integrity of the Services.
We may use internal review statuses such as Pending, Approved, Rejected, Hidden, Disabled, Invalidated, or similar designations.
If content is edited or resubmitted, it may return to review status and may not remain publicly visible during re-review.

3.6 Rankings, Statistics, and Public Metrics
The Services may include rankings, country-based participation views, issuance counts, purchase-amount views, activity summaries, comparative statistics, or similar public-facing metrics.
Such features are provided for informational and expressive purposes only.
Inclusion, exclusion, ordering, weighting, and display may be determined by us in our sole discretion based on factors such as:
completed or valid purchases;
payment country or billing-related country data;
Artifact status;
visibility settings;
fraud and abuse filtering;
moderation status; and
internal methodology.
We may modify, suspend, or discontinue these features or their methodology at any time without liability.

3.7 No Reliance
Publicly visible Artifacts, rankings, statistics, and user messages are user-generated or system-generated displays for expressive and informational purposes only.
You must not rely on them as legal, factual, governmental, professional, investment, safety, identity, or official verification.

4. Acceptable Use and Restrictions

You must use the Services only in compliance with these Terms and applicable law.
You must not, and must not encourage, enable, or assist others to:
use the Services for unlawful, fraudulent, deceptive, or misleading purposes;
impersonate any person or entity or falsely imply affiliation, endorsement, or official status;
submit or publish unlawful, infringing, abusive, hateful, defamatory, threatening, sexually explicit, obscene, exploitative, or violent content;
promote illegal activity, terrorism, extremist violence, sanctions evasion, or law-enforcement evasion;
infringe or violate intellectual property, privacy, publicity, or other rights;
access or attempt to access accounts, systems, or data without authorization;
reverse engineer, decompile, scrape, mirror, republish, extract, or misuse the Services, underlying logic, prompts, outputs, or datasets except to the extent applicable law expressly permits;
interfere with the integrity, security, ranking methodology, moderation systems, payment controls, anti-fraud tools, or technical operation of the Services;
use bots, scripts, automation, fake identities, multiple accounts, or coordinated activity to manipulate rankings, purchases, engagement, or public surfaces;
bypass payment, geographic, eligibility, access, or usage-limitation controls;
use the Services in a manner that violates payment processor rules, card network rules, or merchant-of-record requirements;
or use the Services in any way that exposes us or our providers to legal, regulatory, reputational, operational, or commercial harm.
We may adopt additional acceptable use, anti-fraud, moderation, technical, or community rules from time to time.
When posted, those rules are incorporated into these Terms by reference.

5. Paid Products, Purchases, and Billing

5.1 Paid Offerings
Some features of the Services may require payment, including paid Artifact tiers, creation rights, edit rights, memberships, subscriptions, premium visibility, premium presentation, AI features, and other digital offerings (“Paid Products”).
Descriptions of Paid Products, quantities, limits, prices, taxes, currencies, and included benefits will be presented at or before checkout.

5.2 Merchant of Record and Payment Processing
We may use Paddle or other third-party payment providers, processors, resellers, tax handlers, or merchant-of-record providers to process transactions, handle taxes, provide buyer support, detect fraud, and administer billing.
Where Paddle or another provider acts as merchant of record or reseller, that provider may be treated as the seller of record for the applicable transaction, and your purchase may also be subject to that provider's checkout, buyer, invoicing, billing, tax, refund, fraud, and payment terms presented at checkout.

5.3 Authorization to Charge
By submitting a payment method, you represent and warrant that you are authorized to use that payment method and authorize us and our payment providers to charge the applicable amounts, including taxes, renewal amounts, prorated charges, arrears charges, chargeback-related reversals, and other fees incurred in connection with the Services.

5.4 Pricing and Taxes
Prices may be shown in one or more currencies and may be tax-inclusive or tax-exclusive depending on location and applicable law.
You are responsible for all applicable taxes, duties, levies, banking fees, foreign exchange fees, and similar charges associated with your purchase, except taxes imposed on our net income.
We may change prices at any time. For recurring subscriptions, price changes will apply from the next renewal term unless applicable law requires otherwise.

5.5 Digital Nature of Paid Products
Paid Products are digital products, digital rights, or digital service entitlements only.
No physical item is shipped unless expressly stated otherwise.

5.6 Limited Quantity and Availability
Certain Artifacts, tiers, rights, or purchase opportunities may be limited globally, by account, by region, by country, by time period, or by other operational rules.
Availability is not guaranteed until checkout is successfully completed and payment is accepted.
We may refuse, limit, or cancel purchases to enforce limits, prevent abuse, address fraud risk, correct pricing or system errors, or comply with law or provider requirements.

6. Refunds, Cancellations, Reversals, and Invalidations

6.1 General Rule
Because the Services involve immediate access to digital products and digital service rights, all purchases are final and fees are non-refundable, except:
where required by applicable law;
where expressly stated in our Refund Policy or at checkout;
or where we or the applicable merchant-of-record/payment provider determine, in our or their sole discretion, that a refund is appropriate.

6.2 Limited Exception Cases
Without guaranteeing a refund, refunds may be considered only in limited circumstances, such as:
duplicate payment;
payment processing error;
material technical failure attributable to us that prevents delivery of the purchased Paid Product;
or other circumstances where a refund is required by applicable law.
Except as required by law, dissatisfaction, change of mind, symbolic disappointment, or disagreement with moderation, ranking, or AI output does not entitle you to a refund.

6.3 Cancellation Before Completion
You may abandon or cancel a transaction before payment is completed.
Once payment is completed and the relevant Paid Product, Artifact, right, or feature has been issued, unlocked, delivered, or made available, cancellation is generally no longer available except where required by law.

6.4 Reversals, Chargebacks, and Fraud
If a transaction is reversed, refunded, charged back, disputed, unauthorized, flagged as fraudulent, or otherwise unwound, we may revoke, suspend, disable, or remove access to the associated Paid Product, Artifact, ranking inclusion, direct-link access, public display, or related features.

6.5 Administrative Invalidation
We may invalidate, suspend, restrict, revoke, or remove an Artifact or service entitlement if reasonably necessary, including where:
payment was reversed, disputed, unauthorized, or fraudulent;
the Artifact or User Content violates these Terms or our policies;
required by law, regulator, court, payment provider, merchant-of-record, or competent authority;
we detect abuse, manipulation, excessive refund/chargeback risk, or security concerns;
or the Artifact was created or granted due to system, payment, or operational error.
An invalidated Artifact may be removed from public display, rankings, search results, profiles, and direct-link access without further notice.

7. Intellectual Property

7.1 Our Rights
The Services, including all software, code, designs, interfaces, layouts, branding, graphics, text, compilations, service structure, and related intellectual property rights, are owned by or licensed to us.
Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

7.2 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business use solely as made available by us.

7.3 Feedback
If you provide ideas, feedback, suggestions, or recommendations relating to the Services, you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid-up right to use and exploit them without restriction or compensation to you.

8. AI Features and Generated Material

8.1 AI-Assisted Features
The Services may include AI-assisted generation, commentary, scoring, summarization, classification, transformation, moderation assistance, or similar features.

8.2 No Guarantee
AI outputs may be incomplete, inaccurate, biased, delayed, misleading, offensive, or unsuitable for your intended purpose.
We do not guarantee the accuracy, reliability, legality, usefulness, or fitness of AI-generated or AI-assisted outputs.
You are solely responsible for reviewing, using, publishing, relying on, or sharing any such output.

8.3 Processing of Inputs
To the extent necessary to provide AI-assisted features, you authorize us and our service providers to process prompts, settings, content, and related inputs submitted through the Services.
We may also use de-identified and aggregated usage information for safety, abuse prevention, quality improvement, analytics, and operations.

9. Privacy and Data Use

Your use of the Services is also governed by our Privacy Policy.
We may collect, use, store, share, and process personal information as described in that policy and as otherwise permitted by applicable law.

10. Retention, Deletion Requests, and Anonymization

We may retain records, content states, transaction history, moderation history, fraud-prevention data, support records, and related operational information as reasonably necessary for legal, tax, accounting, security, dispute, abuse-prevention, and recordkeeping purposes.
Where permitted by applicable law and consistent with our legal obligations, we may manage certain records through status changes, restriction, de-linking, or anonymization rather than full deletion.
If you request deletion of your account or personal data, we may delete or anonymize personal identifiers while retaining non-personal, aggregated, de-identified, transactional, compliance, or Artifact-related records to the extent permitted or required by law.

11. Administrative Rights

We reserve the right, in our sole discretion and to the maximum extent permitted by law, to:
approve, reject, hide, disable, invalidate, reclassify, de-rank, or remove Artifacts or User Content;
override user visibility settings where necessary for legal, fraud, security, moderation, payment, or operational reasons;
disable direct links, profile visibility, ranking inclusion, or public access;
suspend or terminate accounts;
impose limits, holds, or additional review requirements; and
take any other action reasonably necessary to protect the Services, users, payment ecosystem, or our legal and business interests.
Administrative action may occur with or without prior notice where circumstances reasonably require immediate action.

12. Third-Party Services

The Services may integrate with or depend on third-party services, including payment providers, hosting providers, AI model providers, analytics tools, infrastructure vendors, and communication providers.
We are not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, ARTIFACTS, AI OUTPUTS, CONTENT, AND ALL RELATED FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY ARTIFACT WILL HAVE ANY LEGAL, OFFICIAL, COMMERCIAL, REPUTATIONAL, OR SYMBOLIC EFFECT OTHER THAN AS A DIGITAL EXPRESSION DISPLAYED THROUGH THE SERVICES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL THEORY, WILL WE, OUR AFFILIATES, OR OUR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
1. THE AMOUNT YOU PAID TO US FOR THE RELEVANT PAID PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM;
OR
2. ONE HUNDRED U.S. DOLLARS (US $100).
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

15. Governing Law; Dispute Resolution; Class Action Waiver

15.1 Governing Law
These Terms are governed by the laws of the Republic of Korea, without regard to conflict of laws principles, except to the extent consumer protection law in your place of residence requires otherwise.

15.2 Informal Resolution
Before filing a formal claim, you and we agree to attempt to resolve the dispute informally by contacting the other party and providing a brief written description of the dispute and requested relief.

15.3 Courts
The courts located in Busan, Republic of Korea will have exclusive jurisdiction, except where applicable law requires otherwise.

15.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING.

15.5 Time Limit on Claims
To the extent permitted by applicable law, any claim arising out of or relating to the Services or these Terms must be brought within one (1) year after the claim arose, or the claim is permanently barred.

16. Changes to These Terms

We may update these Terms from time to time.
If we do, we will revise the “Last Updated” date above.
Unless a shorter period is required for legal, regulatory, fraud, payment, security, or operational reasons, material changes will become effective upon posting for new users and thirty (30) days after posting or notice for existing users.
If you do not agree to the updated Terms, you must stop using the Services before the updated Terms become effective.
Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

17. Termination

We may suspend, restrict, or terminate your access to all or any part of the Services immediately if:
you violate these Terms or our policies;
we reasonably suspect fraud, abuse, unauthorized activity, or payment risk;
required by law, regulation, court order, payment provider, or merchant-of-record requirements;
your use creates security, operational, reputational, or legal risk; or
we discontinue the Services or relevant functionality.
You may stop using the Services at any time. Termination does not relieve you of obligations accrued before termination.
Sections that by their nature should survive termination will survive, including provisions relating to payments, refunds, licenses, disclaimers, limitations of liability, dispute resolution, data retention, and miscellaneous terms.

18. Miscellaneous

18.1 Entire Agreement
These Terms, together with any policies and documents incorporated by reference, constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous understandings relating to the Services.

18.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

18.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

18.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.

18.5 Force Majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including internet failures, provider outages, labor disputes, natural disasters, governmental actions, war, terrorism, civil unrest, epidemics, pandemics, or power failures.

18.6 Electronic Communications
You agree to receive communications from us electronically, including by email, in-product notices, or website posting, and agree that such communications satisfy any legal requirement that communications be in writing.

Refund Policy

This Refund Policy describes the rules governing refunds, cancellations, reversals, and chargebacks for purchases made through thxmyai (the “Service”), operated by touch a chord (“Company,” “we,” “us,” or “our”).
This Refund Policy forms part of and is incorporated into our Terms of Service.
By purchasing any paid offering through the Service, you agree to this Refund Policy in addition to our Terms of Service and Privacy Policy.
If there is any conflict between this Refund Policy and any mandatory rights granted to you under applicable consumer protection law, the applicable law will control to the extent required.
